GSK Stockmann advised MLP on acquiring the majority in DEUTSCHLAND.Immobilien group

GSK Stockmann advised MLP Finanzberatung SE on the acquisition of 75.1 percent of the shares in DI DEUTSCHLAND.Immobilien AG.

After the MLP group developed asset management and property insurance into strong revenue cornerstones in recent years, the financial services provider is now strategically expanding its real estate business with this transaction. The centerpiece of DEUTSCHLAND.Immobilien, founded in 2008, is an online platform used by around 5,800 partner distributors. Additionally, "DI" operates its own project developments, above all in the growth segment of old-age housing and nursing care.

The total purchase price, which is in the double-digit million range, comprises the initial purchase price and a performance-related component linked to the business development in the years 2019 to 2021. MLP was granted a right of first refusal for the remaining shares, which stay with the company management. The project is implemented with economic effect as of January 1, 2019, but is subject to authorization by the antitrust authorities and the approval of the relevant bodies.

GSK Stockmann’s interdisciplinary team working from several locations comprehensively advised MLP on drafting and negotiating the purchase agreement as well as the upstream legal due diligence, which covered a double-digit number of the target company’s subsidiaries and project companies as well as some of their project developments. In addition to corporate, real estate and public law, the advisory services also included supervisory law, finance, IP/IT and labor law.
