GSK Stockmann provided comprehensive legal advice to the financial service provider MLP regarding the acquisition of the industrial insurance brokers RVM. For MLP this transaction is a first decisive step towards expanding their commercial and industrial insurance segment. Through this deal, MLP Assekuranzmakler Holding GmbH is taking over 100 percent of RVM Versicherungsmakler GmbH & Co. KG (whose headquarters are located in Eningen unter Achalm) including their key subsidiaries.
In the last few years, the MLP Group have succeeded in significantly expanding their portfolio for corporate and institutional clients as well as its B2B services through their acquisitions of DOMCURA and DEUTSCHLAND.Immobilien; these transactions were already carried out with legal support by GSK Stockmann. The financial service provider is now strategically expanding its market position in the field of commercial and industrial insurance. With the acquisition of the RVM Group, which has a well-established business model as an industrial insurance broker with a strong focus on medium-sized clients serving more than 2,500 companies, MLP aims to lay the foundation for further acquisitions of medium-sized market players in this field of consulting.
The total purchase price, which is in the mid double-digit million range, consists of an initial purchase price and a post-purchase price component that is linked to the quality of the business development until the end of 2022. The project will be implemented with economic effect from 1 January 2021, subject to approval by the antitrust authority.
With an interdisciplinary team extending across firm locations, GSK Stockmann comprehensively advised MLP on the drafting and negotiation of the purchase agreement as well as the preceding legal due diligence. In addition to providing support regarding corporate law, the firm also advised regarding banking and insurance supervisory law.
