GSK Stockmann advises Frankfurter Bankgesellschaft AG (Switzerland) on acquiring majority stake in IPAM M&A Consultants AG

GSK Stockmann provided comprehensive legal advice to Frankfurter Bankgesellschaft AG (Switzerland), the Zurich-based private bank portion of Sparkassen-Finanzgruppe (savings banks finance group), on entering into a strategic partnership with IMAP M&A Consultants AG, one of the leading consulting firms in the field of mergers & acquisitions for medium-sized companies in Germany.

As of 2 January 2020, Frankfurter Bankgesellschaft owns a 75.1% stake in IMAP M&A Consultants AG; 24.9% remain with the IMAP founders and management. The transaction has yet to be approved by the German Federal Cartel Office.

IMAP M&A Consultants AG, based in Mannheim, Germany, is the German branch of the global IMAP organisation, one of the largest M&A consultancies for medium-sized companies worldwide. Sparkassen-Finanzgruppe is the market leader in Germany in the SMEs corporate customer segment. Through this strategic investment, Frankfurter Bankgesellschaft is expanding its extensive range of services for family businesses, which is also the main target group of IMAP.

For Holger Mai, CEO of the Frankfurter Bankgesellschaft Group, IMAP’s expertise is the perfect addition to the services portfolio: “Frankfurter Bankgesellschaft is now able to cover all facets of comprehensively advising family businesses.”

Frankfurter Bankgesellschaft is the “private bank” of the Sparkassen-Finanzgruppe, one of the largest financial groups in the world. The Group manages around CHF 12 billion and is one of the ten largest and fastest-growing private banks in Germany.

GSK Stockmann advised Frankfurter Bankgesellschaft comprehensively: from the due diligence to the drafting and negotiation of the share purchase agreement and other agreements such as the shareholders agreement and the service contacts for the management board.
