Since the current legal situation regarding the Partnership Law are neither adapted to legal practice nor to the requirements of modern business life, the German Justice Ministry initiated an extensive and sensible reform project.
The commission’s draft on the modernisation of the laws on German partnerships under civil law aims to adapt the written laws to current legal practice and the requirements of modern business life. To this end, a comprehensive recodification of the norms on the GbR as the original form of the partnership is proposed. In particular, the draft provides for the creation of a public register for GbRs, the actual introduction of which would have considerable practical consequences. We are therefore presenting the main content of the draft and explain possible effects on practice in more detail.
