GSK Stockmann advises Saviola with regard to its acquisition of 50% in Rheinspan

GSK Stockmann has advised Saviola Holding s.r.l. with regard to the acquisition of 50 % of the share capital of Nolte Holzwerkstoff GmbH & Co. KG from the majority shareholder and the establishment of a joint venture with the previous majority shareholder.

The Saviola Group, based in Viadana (Mantova) is the leading particleboard manufacturing company in Italy and the most important wood recycler in the world with 13 plants and 1500 employees. The Saviola Group is internationally known as the inventor of the 100% recycled wood panel.

The joint venture company – Germersheim based Nolte Holzwerkstoff GmbH & Co. KG (also known as “Rheinspan”) – currently has app. 200 employees and can show 69 years of experience in the industrial manufacture of particleboard, making it the oldest family-owned particleboard manufacturer in the world.

Together with the Italian law firm Gattai Minoli Agostinelli & Partners GSK Stockmann advised Saviola with regard to the structuring and negotiation of the contractual documentation of the joint venture. The transaction had to be cleared by the German as well as the Austrian antitrust authorities. With regard to the Austrian antitrust filing, Saviola instructed the Austrian law firm Wolf Theiss based on arecommendation of GSK Stockmann.
